Terms of Service and Business Subscription Terms

These review-draft terms cover holder accounts, business workspaces, integrations, subscriptions, and the limits of MoonHold’s noncustodial service.

Eligibility and authority

You must be at least 18 and legally able to agree to these terms. Paid business workspaces are offered for business or commercial use. A person acting for a business or community represents that they are authorized to bind it and administer the connected Discord server, Telegram group, wallets, and content.

The service

MoonHold verifies control of public wallet addresses and evaluates customer-configured eligibility rules. It can manage access and feed delivery through third-party platforms. MoonHold is noncustodial: it does not request seed phrases, initiate wallet transactions, hold digital assets, transmit funds, provide investment advice, or guarantee the value or authenticity of an asset.

Accounts and customer responsibilities

You are responsible for protecting connected accounts, wallets, administrator access, and recovery methods; maintaining accurate configuration; obtaining notices and permissions required for community data; and promptly reporting unauthorized use. You must comply with the Acceptable Use Policy and the rules of Discord, Telegram, Stripe, Solana providers, and other connected services.

Service license, customer content, and ownership

Subject to these terms and payment of applicable fees, MoonHold grants the customer a limited, nonexclusive, nontransferable, revocable right to use the service for its internal business and community-administration purposes. MoonHold and its licensors retain the service, software, documentation, branding, and all related intellectual-property rights. The customer retains its content and configuration and grants MoonHold only the limited rights needed to host, process, transmit, and display them to provide, secure, support, and improve the contracted service. The customer represents that it has the rights and permissions needed for that use.

Subscriptions, taxes, and discounts

  • No free trial is offered at launch. Paid plans renew monthly until cancelled.
  • Cancellation takes effect at the end of the current paid period. Add-ons are invoiced immediately using Stripe proration.
  • Prices are tax-exclusive. Checkout may calculate tax based on billing information, but collection is limited to jurisdictions where the operator is registered.
  • Except where law requires otherwise, confirmed duplicate charges, or MoonHold billing error, paid periods are nonrefundable once begun.
  • Moonsters holder discounts apply to the base subscription and eligible capacity add-ons at the displayed verified tier on no more than two selected workspaces per holder account. Eligibility is revalidated before renewal, with the last valid tier preserved for up to seven days during a provider outage.
  • After a failed renewal, paid access may remain available for four calendar days before paid workspace actions are suspended. Configuration is not deleted solely because payment failed.

Online customers may cancel through the authenticated Stripe billing portal without contacting support. A customer unable to authenticate may request cancellation by emailing support@moonhold.app. MoonHold retains minimized verification of affirmative recurring-billing consent for at least three years, or one year after termination, whichever is longer.

Sanctions and restricted use

You may not use MoonHold if you are a sanctioned person, are acting for one, or if providing the service would violate applicable trade or economic sanctions. MoonHold may use payment-provider, account, public-wallet, and other lawful risk signals to restrict access, preserve evidence, or seek professional guidance. Public-wallet screening is not proof of legal identity.

Availability and third parties

Blockchain networks, wallets, Discord, Telegram, Stripe, RPC providers, marketplaces, and other third parties are outside MoonHold's control. Eligibility and delivery may be delayed, incomplete, or unavailable when those systems fail or change. MoonHold may modify, suspend, or discontinue unsafe or unsupported functionality.

Suspension and termination

MoonHold may suspend access to protect users or the service, respond to provider or legal requirements, investigate abuse, or address unpaid or reversed charges. You may request account deletion subject to business-ownership transfer, legal holds, disputes, and accounting retention described in the Privacy Notice.

Confidentiality and customer claims

Each party will use reasonable care to protect nonpublic information received from the other and will use it only for the service relationship, except where disclosure is authorized or legally required. To the extent permitted by law, the customer is responsible for third-party claims arising from customer content, customer-configured eligibility or access decisions, lack of authority over a connected destination, or unlawful use of the service.

Disclaimers and liability

To the extent permitted by law, the service is provided “as is” and “as available,” without implied warranties. MoonHold is not responsible for asset value, customer-configured access decisions, third-party outages, or irreversible actions taken outside MoonHold. To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages, and MoonHold's aggregate liability arising from the service will not exceed the fees the customer paid MoonHold during the 12 months before the event giving rise to the claim. These limits do not reduce payment obligations or liabilities that applicable law does not permit a party to limit. Governing law, venue, dispute procedure, and mandatory jurisdiction-specific rights remain subject to qualified review before these terms become effective.

General terms

Neither party is responsible for delay caused by events beyond its reasonable control. The customer may not assign the agreement without MoonHold's written consent, except in connection with a merger or sale of substantially all relevant assets; MoonHold may assign it in a reorganization or business transfer. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. Provisions that by their nature should survive termination—including payment, confidentiality, ownership, disclaimers, liability limits, and retained-record obligations—will survive.
